Official Rules

NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. ALL FEDERAL, STATE, LOCAL, AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED. RESIDENTS OF RHODE ISLAND ARE NOT ELIGIBLE TO PARTICIPATE.

The #WhataGuessContest (the “Contest”) is sponsored by Whatabrands LLC, located at 300 Concord Plaza Dr., San Antonio, Texas 78216 (“Sponsor”). Sponsor and its licensees, parent, subsidiaries, affiliates, successors, and assigns are referred to throughout these Official Rules as “Whataburger”.

1. Eligibility

The Contest may be entered by any legal resident of the 50 United States or the District of Columbia (unless otherwise excluded herein) who are at least 13 years old at the time of entry. Employees of Whataburger or any other companies or persons associated with the promotion, operation, or judging of the Contest and their respective parents, subsidiaries, affiliates, and advertising and promotion agencies, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee or person, are not eligible to participate in the Contest. The Contest is subject to federal, state, and local laws and regulations, and is void where prohibited or restricted by law. If you are a deemed a minor in your state of residence (“Minor”), you must have the consent of your parent or legal guardian to participate in this Contest. Proof of such consent may be required at any time.

2. Agreement to Official Rules

By submitting a Submission (defined below), Participant (defined below) fully and unconditionally agrees to and accepts these Official Rules and the decisions of Sponsor, which are final and binding. Winning a Prize is contingent upon the Participant being compliant with these Official Rules and fulfilling all other requirements set forth herein.

3. How to Enter

To enter the Contest, an individual must submit a response to Whataburger’s tweet from its official Twitter account announcing the Contest, which response must include the required hashtag #WhataGuessContest and the individual’s guess for the final score for the January 7, 2019 football game between Alabama and Clemson (the “Game”) (in the form of: Alabama __ Clemson __, or Clemson ___ Alabama ___). All properly made Submissions from eligible individuals will be automatically entered into the Contest. Each person posting a Submission will be considered a “Participant”. Limit one Submission per Participant. Participants making multiple submissions may be disqualified. Participants violating Twitter’s terms of use may also be disqualified. Submissions will not be acknowledged or returned.

4. Submission Period

Only Submissions made between 10:00 am CT on Monday, January 7, 2019 and 5:00 pm CT on January 7, 2019 (the “Submission Period”) will be eligible to win. Submissions that are submitted before or after the Submission Period will be disqualified. Submissions will be accepted online throughout the Submission Period only using the methods described in Section 3 below.

5. Winner Selection

All Submissions made during the Submission Period will be collected. Following the conclusion of the Game, members of the Sponsor’s social media team will review the eligible Submissions and will collect Submissions that correctly identified the Game’s final score, if any, or that were closest to the Game’s final score. In the event of multiple correct Submissions or multiple Submissions that were the closest to the Game’s final score, the earliest of those Submissions received by Sponsor during the Submission Period will be considered the potentially winning Submission. Judging will be conducted under the direction of Sponsor, whose decisions are final and binding in all matters relating to the Contest. Sponsor reserves the right to not select a winner if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Submissions or no Submission correctly predicted the Game’s final score.

6. Winner Announcement

Sponsor will attempt to notify the potential winning Participant via direct message to the potential winner’s social media account. To win the Contest, the potential winning Participant must comply with all terms and conditions of these Official Rules and must fulfill each of the following requirements: (a) provide consent of a parent or legal guardian where applicable, and (b) complete and return the Prize Verification Form(s) (defined in Section 8, below). If any potential winning Participant does not respond within 24 hours after the date of Sponsor’s first attempt to contact him or her, fails to comply with all terms and conditions of these Official Rules, fails to comply with requirements (a) and (b) of this Section 6, declines the Prize (as defined below), or is disqualified for any reason, Sponsor may, at its sole discretion select as the potential alternate winning Participant the next earliest Submission correctly predicting the Game’s final score or that was the closest to the Game’s final score. Sponsor may continue selecting the next correct or closest Submission as the potential alternate winning Participant until such time as a Participant is adjudged a winner as set forth in this paragraph, or Sponsor may elect at its sole discretion not to award the Prize, or Sponsor may cancel the Contest in its sole discretion.

7. Prize

One winner will be chosen as described in Sections 5 and 6, above, for a total of one prize awarded. The #WhataGuessContest winner will receive a “Prize” consisting of Whataburger-for-a-Year, which is defined as a total of 52 coupons, each for a single meat Whataburger^® sandwich (note that add-ons to the sandwich, as well as sides, drinks, and other items are not included in the definition of Whataburger-for-a-Year). The Prize is valued at approximately $192.00.

A Minor will not be allowed to receive the Prize without the proof of consent of the Minor’s parent or legal guardian and the parent or legal guardian’s complete acceptance of these Official Rules.

8. Winner Verification and Prize Conditions

In addition to the other requirements stated in Section 6 above, the Potentially Winning Participant (or his or her parents or legal guardians if the Potentially Winning Participant is a Minor) or Alternate Potentially Winning Participant, where applicable, will be required to sign and return to Sponsor any legal documents that Sponsor may require to be adjudged the winner, including, but not limited to, a Winner’s Affidavit, which may contain a liability release and a publicity release and license consistent with the terms of Section 10 below (collectively, “Prize Verification Forms”), immediately upon delivery of the Prize Verification Forms to the Potentially Winning Participant by the Sponsor. Failure to timely execute the Prize Verification Forms as requested by Sponsor will result in Participant’s immediate disqualification from the Contest and forfeiture of any Prize that might otherwise have been awarded.

9. General Conditions

In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to, fraud, virus, bug, worm, unauthorized human intervention, or other technical problem, or in the event the Contest is unable to run as planned for any other reason, as determined by Sponsor in its sole discretion, Sponsor may, in its sole discretion, either (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules, or (b) terminate the Contest and, in the event of termination, award the Prize based on the highest scoring Submission made before the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to damage the platform or undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages (including attorneys’ fees) and any other remedies from any such person to the fullest extent permitted by law. Failure by Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision.

10. Publication and License

By posting or tweeting a Submission, each Participant: (a) represents and warrants to Whataburger that the Submission is an original work and that the Participant owns all right, title, and interest in and to the Submission as of the date such Submission is submitted or has all necessary rights and authorizations to submit the Submission and the express permission of all individuals and for all content and materials embodied in the Submission to submit the Submission for possible use as provided herein; (b) represents and warrants to Whataburger that the Submission does not violate these Official Rules or infringe upon the copyrights, trademarks, rights of privacy, publicity, or other intellectual property or other rights of any person or entity; and (c) grants to Whataburger an irrevocable, perpetual, worldwide, royalty-free, unlimited, freely transferable right and license to use, edit, modify, duplicate, license, and/or create derivative works from the Submission for any and all purposes, in any and all media, whether now known or hereafter devised. In addition, and except as prohibited by applicable law, the winning Participant grants to Whataburger an irrevocable, perpetual, worldwide, royalty-free, unlimited, freely transferable license to print, publish, display, broadcast, distribute, reproduce, use, and otherwise exploit the winning Participant’s name, voice, statement, picture, or other likeness, without additional compensation, in any media now known or hereinafter known for any purpose whatsoever, including public relations, advertising, and promotional purposes, as may be determined by Whataburger. As further described in Section 8 above, the winning Participant may be required to sign a publicity release and license confirming the foregoing grant of rights to Sponsor prior to acceptance of the Prize. Nothing herein will obligate Whataburger to make any use of any of the rights set forth herein.

11. Content Restrictions

Submissions must be made in the English language. Participants must not include any of the following content (“Restricted Content”) in their Submissions: (a) anything that is not in keeping with the reputation and image of the Whataburger brand of products and services; (b) anything that is obscene, indecent, or sexually explicit or suggestive; (c) anything that may be considered offensive to individuals of any age, race, ethnicity, national origin, religion, sexual orientation, or other protected class or to persons who are disabled; (d) anything that infringes, violates, or misappropriates any person’s or entity’s personal or proprietary rights (including copyrights, trademarks, or other intellectual property rights); (e) anything that defames or invades the publicity or privacy rights of any person, living or deceased; (f) any threats to any person, place, business, group, or entity; (g) anything that depicts illegal or violent acts or dangerous stunts; (h) anything that is libelous, hateful, or slanderous; (i) anything that depicts or references tobacco, alcohol, drugs, or weapons of any kind, including, but not limited to, guns, knives, or projectiles; and (j) any images of individuals under legal age of majority, except if the Participant obtains a signed release from such individual’s parent or legal guardian. Any Submission that Sponsor determines includes Restricted Content shall be disqualified and ineligible to participate in or win the Contest. The determination of whether content submitted by a Participant is Restricted Content will be made in Sponsor’s sole and absolute discretion and Sponsor’s determination that content is Restricted Content shall be final and binding in all respects.

12. Release and Limitations of Liability

By participating in the Contest, Participants agree to release and hold harmless Sponsor, and its parent, subsidiaries, affiliates, advertising and promotion agencies, the entities identified in Section 13 below, any other entities associated with the Contest, and each of their respective officers, directors, employees, shareholders, representatives, and agents (the “Released Parties”) from and against any claim, cause of action, judgement, costs, damages, losses, expenses, and liabilities, (whether arising under a theory of contract, warranty, tort, strict liability, product liability, or any other theory) that may be suffered by Participant or any third party as a result of participation in the Contest, acceptance, receipt, use, or nonuse of the Prize, Whataburger’s use of the Participant’s name, voice, statement, picture, or other likeness, or Whataburger’s use of the Submission as permitted hereunder (including but not limited to claims of false endorsement or infringement of rights of publicity or privacy), even if such harm is caused solely by the recklessness, negligence, or fault of one or more Released Parties. The Released Parties are not responsible for any claims, damages, expenses, costs, or losses to any person (including death) or property of any kind resulting from or arising from or in connection with, in whole or in part, directly or indirectly: (a) any technical errors associated with the Contest, including lost, interrupted, or unavailable Internet Service Provider, network, server, wireless service provider, or other connections; availability, accessibility, miscommunications, or failed computer, satellite, telephone, cellular tower, or cable transmissions or lines; or technical failure or jumbled, scrambled, delayed, or misdirected transmissions; or computer hardware or software malfunctions, failures, or difficulties; (b) unauthorized human intervention in the Contest; (c) mechanical, network, electronic, computer, human, printing, or typographical errors; (d) application downloads, (e) any other errors or problems in connection with the Contest, including, without limitation, errors that may occur in the administration of the Contest, the announcement of the winning Participant, or the processing of Submissions; or (f) injury, death, losses, or damages of any kind to persons or property that may be caused, directly or indirectly, in whole or in part, from participation in the Contest or acceptance, receipt, or misuse of a Prize (including any travel or activity related thereto). Participant further agrees that in any cause of action the Released Parties’ liability will be limited to the lesser of $100 or the Participant’s actual out-of-pocket cost of entering and participating in the Contest, and in no event shall the Participant be entitled to recover or receive attorneys’ fees. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Participant waives all rights and claims to special, incidental, punitive, consequential, direct, or indirect damages, whether foreseeable or not, and whether based on negligence or otherwise. Some jurisdictions may not allow limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties, so some of the above limitations or exclusions may not apply. Check local laws for any restrictions or limitations regarding these limitations or exclusions.

13. Third-Party Trademarks and Additional Disclaimer

Any third-party trademarks used in this promotion are the property of the respective trademark owners and are used for identification purposes only. This promotion is in no way sponsored, endorsed, administered by, or associated with such third parties, including, but not limited to, Twitter, the NCAA, the University of Alabama, Clemson University, or ESPN, unless specifically stated otherwise.

14. Disputes

Except where prohibited, each Participant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Bexar County, Texas. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Participants’ rights and obligations, or the rights and obligations of Whataburger in connection with the Contest or any entry, shall be governed by, and construed in accordance with, the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than the State of Texas.

15. Privacy

Information collected from Participants is subject to Sponsor’s privacy policy, which can be found at http://whataburger.com/home/privacypolicy.

16. Winner List

The name of the Winner will be announced by Sponsor by 5:00 pm CT on January 10, 2019, or as soon thereafter as a winner of the Prize is determined in accordance with the procedures in Sections 5 and 6, above. The name of the winning Participant may also be posted on one or more of the Whataburger social media profile pages following the conclusion of the Contest. A Winner List can also be obtained by sending a request with a self-addressed, stamped envelope to Whataburger, Attn: Corporate Communications, 300 Concord Plaza Dr., San Antonio, Texas 78216. All requests must be received within 60 days after the end of the Contest.

El Sorteo Haz tu Jugada con Whataburger (el “Sorteo”) es patrocinado por Whatabrands LLC, con domicilio en 300 Concord Plaza Dr., San Antonio, Texas 78216 (“Patrocinador”).  1. Admisibilidad

 2. Consentimiento a las Reglas Oficiales  

La participación en este Sorteo constituye que el Participante acepta y está en completo acuerdo incondicional a estas Reglas Oficiales y las decisiones del Patrocinador, que son definitivas y vinculantes. Ganar un premio está supeditado a cumplir con estas Reglas Oficiales y cumplir con todos los requerimientos establecidos en las presentes Reglas Oficiales.

 3. Periodo del Sorteo  

El Sorteo inicia el 10 de noviembre de 2018 a las 12:01 AM CT (Tiempo del Centro) y termina el 30 de noviembre de 2018 at 11:59 PM CT (el “Periodo del Sorteo”).

 4. Cómo Participar

En la sección de "Comentarios" de una publicación específica hecha por el Patrocinador en Facebook o en Instagram, los Participantes deberán escribir una respuesta a la pregunta planteada en la publicación aplicable (por ejemplo, "¿Cuántos paquetes de Whataburger Spicy Ketchup son necesarios para cubrir la cancha de fútbol sóquer?”). NO SE REQUIERE UNA ESTIMACIÓN CORRECTA PARA GANAR EL PREMIO. Un individuo que escribe un comentario en acuerdo con los requerimientos anteriores durante el Periodo del Sorteo será considerado como un "Participante" y dicho comentario será considerado como la “Inscripción”. Limitado a una Inscripción por persona. Cada Inscripción deberá realizarse de acuerdo con estas Reglas Oficiales, incluyendo las Restricciones en el Contenido descritas abajo, y también deben apegarse a las reglas de la plataforma en la que se hacen (en otras palabras, a las reglas de Facebook o Instagram). Sólo los comentarios escritos durante el Periodo del Sorteo a una publicación específica hecha por el Patrocinador serán considerados como Inscripción y serán admisibles para ganar el Sorteo. Todas las Inscripciones presentadas apropiadamente entrarán automáticamente al Sorteo. Las inscripciones adicionales a los límites establecidos serán descalificadas. En caso de conflicto respecto a la identidad de cualquier Participante, la Inscripción relevante será considerada como presentada por el titular autorizado de la cuenta de Facebook o Instagram que fue utilizada para participar.

5. Selección del Ganador

Al cierre del Periodo del Sorteo, todas la Participaciones admisibles recibidas durante el Periodo del Sorteo serán recolectadas y un ganador será aleatoriamente seleccionado entre las Participaciones admisibles, sin importar si la respuesta incluida en la Inscripción fue correcta. El sorteo se llevará a cabo bajo la dirección del Patrocinador, cuyas decisiones con definitivas y vinculantes en todos los aspectos relacionados al Sorteo. Ser ganador queda supeditado a que el Participante cumpla con todos los requerimientos de estas Reglas Oficiales. Las probabilidades de ganar exactas dependen de la cantidad total de Participaciones que se hayan recibido durante el Periodo del Sorteo.

 6. Notificación al Ganador

El Patrocinador intentará notificar al potencial ganador a través de un mensaje directo a la cuenta de Facebook o Instagram de dicho Participante. El Participante que resulte potencial ganador deberá responder dentro de 24 horas del primer intento del Patrocinador para contactar al Participante y deberá firmar y regresar las Formas de Verificación de Premio (definidas abajo) dentro del periodo indicado por el Patrocinador (y proporcionar el consentimiento del padre o tutor legal cuando corresponda) y, en caso de que no se cumpla con esto el Premio quedará invalidado. En caso de que el Participante que resulte potencial ganador no pueda ser contactado o no responda dentro del periodo designado, dicho potencial ganador será descalificado y se podrá seleccionar otro potencial ganador usando los mismos procedimientos establecidos arriba entre las Participaciones admisibles restantes recibidas o el Patrocinador podrá cancelar el Sorteo a su total discreción.

 7. Premios

Se seleccionará un ganador entre las Participaciones admisibles.El ganador

recibirá un jersey oficial de Whataburger, un balón de fútbol de Whataburger y Whataburger por un año (lo que se define como un total de 52 cupones, cada uno para un sándwich de Whataburger® de una sola carne (los ingredientes extras, así como los complementos, bebidas y otros artículos no están incluidos en la definición de “Whataburger por un Año”)) (El “Premio”). El Premio tiene un valor estimado de $[235.00] dólares. No se le permitirá a un menor de edad recibir el Premio sin prueba del consentimiento del padre o tutor legal del menor o sin la total aceptación de estas Reglas Oficiales por parte del padre o tutor legal. No se permitirá la transferencia, sustitución o reembolso por efectivo del Premio con excepción de la decisión del Patrocinador a su total discreción. El Premio no es transferible y no puede ser regalado, comercializado, substituido, vendido o intercambiado por efectivo o por otro premio. Los componentes no usados del Premio no tienen valor de reembolso por dinero en efectivo. El Patrocinador se reserva el derecho de sustituir cualquier Premio listado por uno de igual o mayor valor por cualquier razón.

8. Verificación del Ganador y Condiciones para el Premio

A cada Participante que resulte un potencial ganador (y el padre o tutor legal de cualquier menor de edad que haya sido elegido como un potencial ganador) se le requerirá que firme y regrese al Patrocinador todo documento legal que el Patrocinador pudiera requerir incluyendo, pero no limitado a, una "Declaración del Ganador" (que pudiera contener una autorización para publicar) y, de ser necesario, una Forma IRS Form W-9 (que en conjunto se denominan las “Formas de Verificación de Premio”), dentro del tiempo especificado en la comunicación por la cual el Patrocinador proporciona las Formas de Verificación de Premio al Participante que resulte potencial ganador. En caso de que el Participante que resulte potencial ganador no firme y regrese a tiempo las Formas de Verificación de Premio al Patrocinador, o que elija no aceptar el Premio, dicho potencial ganador será descalificado y se podrá seleccionar otro potencial ganador usando los mismos procedimientos establecidos arriba entre las participaciones admisibles restantes recibidas o el Patrocinador podrá cancelar el Sorteo a su total discreción.

9. Condiciones Generales

En el caso de que quede impedida la operación, la seguridad o la administración del Sorteo de forma alguna o por cualquier razón incluyendo, pero no limitadas a, fraude, virus o gusanos informáticos, intervención humana no autorizada o cualquier otro problema técnico, o en caso de que el Sorteo no pueda realizarse como fue planeado por cualquier otra razón, como se determina por el Patrocinador a su total discreción, el Patrocinador podrá, a su total discreción, ya sea (a) suspender el Sorteo para abordar el problema y luego reiniciar el Sorteo de manera que mejor se apegue al espíritu de estas Reglas Oficiales o, (b) dar por terminado el Sorteo y, en caso de su terminación, otorgar el Premio de manera aleatoria entre las participaciones restantes admisibles de las que no se sospeche y que hayan sido recibidas hasta el momento de la terminación. El Patrocinador se reserva el derecho en su total discreción a descalificar a cualquier individuo que descubra que está alterando el proceso de inscripción o el proceso de operación del Sorteo o que esté actuando en violación a estas Reglas Oficiales o en una manera antideportiva o irrespetuosa. Cualquier intento por cualquier persona de dañar la plataforma o socavar deliberadamente la operación legítima del Sorteo puede ser una violación de derecho criminal y civil y, en caso de que se lleve a cabo dicho intento, el Patrocinador se reserva el derecho a buscar medios judiciales e indemnización (incluyendo los honorarios de abogados) y cualquier otra compensación de dicha persona hasta el máximo alcance permitido por la ley. El incumplimiento por parte del Patrocinador para imponer cualquier disposición de estas Reglas Oficiales no constituye una renuncia a esa disposición.

10. Publicación y Licencia

Una Inscripción que contenga Contenidos Restringidos será descalificada e inadmisible para participar en el Sorteo o para ganar el Sorteo. La determinación de que el contenido presentado por un Participante es o no parte de los Contenidos Restringidos será tomada por el Patrocinador a criterio exclusivo y absoluto y la determinación del Patrocinador de que es un Contenido Restringido será definitiva y vinculante en todo respecto.

12. Exención y Limitación de Responsabilidad

The Make Your Play with Whataburger Sweepstakes (the “Sweepstakes”) is sponsored by Whatabrands LLC, located at 300 Concord Plaza Dr., San Antonio, Texas 78216 (“Sponsor”). Sponsor and its licensees, parent, subsidiaries, affiliates, successors and assigns are referred to throughout these Official Rules as “Whataburger”.

 1. Eligibility

Entries for the Sweepstakes may be submitted by any legal resident of the following U.S. States: Alabama, Arizona, Arkansas, Florida, Georgia, Louisiana, Mississippi, New Mexico, Oklahoma, or Texas (unless otherwise excluded herein), who are at least 13 years old at the time of entry. Employees of Whataburger or any other companies associated with the promotion of the Sweepstakes, and their respective parents, subsidiaries, affiliates, and advertising and promotion agencies, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee, are not eligible to participate in the Sweepstakes. The Sweepstakes is subject to federal, state, and local laws and regulations, and is void where prohibited or restricted by law. If you are a deemed a minor in your state of residence (“Minor”), you must have the consent of your parent or legal guardian to participate in this Sweepstakes. Proof of such consent may be required at any time.

 2. Agreement to Official Rules

Participation in the Sweepstakes constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon being compliant with these Official Rules and fulfilling all other requirements set forth herein.

 3. Sweepstakes Period

The Sweepstakes begins on October 11, 2018 at 12:01 am CT and ends on October 24, 2018 at 11:59 PM CT (the “Sweepstakes Period”).

 4. How to Enter

Entrants must enter in the “Comments” section for the specific post made by Sponsor on Facebook or Instagram an answer to the question posed in the applicable post (i.e., "How many packets of Whataburger Spicy Ketchup would it take to cover the soccer field?”). A CORRECT GUESS IS NOT REQUIRED TO WIN THE PRIZE. An individual posting a comment in accordance with the above requirements during the Sweepstakes Period will be considered a “Participant” and such comment will be considered the “Entry”. Limit one Entry per person. Each Entry must be made in accordance with these Official Rules, including the Content Restrictions described below, and must also conform to the rules of the platform on which it is made (i.e., Facebook or Instagram). Only comments made during the Sweepstakes Period to the specific post made by Sponsor will be considered Entries and will be eligible to win the Sweepstakes. All properly submitted Entries will be automatically entered into the Sweepstakes. Entries in excess of the stated limits will be disqualified. In the event of a dispute concerning the identity of any Participant, the relevant Entry will be deemed submitted by the authorized holder of the applicable Facebook or Instagram account used to enter.

5. Winner Selection

At the close of the Sweepstakes Period, all qualifying Entries received during the Sweepstakes Period will be collected, and one winner will be randomly selected from eligible Entries without regard to whether the guess included in the Entry was correct. Drawings will be conducted under the direction of Sponsor, whose decisions are final and binding in all matters relating to the Sweepstakes. Winning is contingent upon the Participant fulfilling all requirements of these Official Rules. Actual odds of winning depend on the total number of Entries received during the Sweepstakes Period.

 6. Winner Notification

Sponsor will attempt to notify the potential winning Participant via direct message on such individual’s Facebook or Instagram account. The potential winning Participant must respond within 24 hours after Sponsor’s first attempt to contact the Participant and must sign and return the Prize Verification Forms (defined below) within the time period indicated by Sponsor (and provide any required consent of a parent or legal guardian where applicable), otherwise the Prize will be forfeited. In the event that a potential winning Participant cannot be contacted or does not respond within the designated period of time, such potential winning Participant will be disqualified and another potential winning Participant may be selected using the same procedures stated above from the remaining eligible Entries received or Sponsor may cancel the Sweepstakes in its sole discretion.

 7. Prizes

One winner will be selected from the qualifying Entries.The winner will receive a Whataburger soccer jersey, a Whataburger soccer ball, and Whataburger-for-a-Year (which is defined as a total of 52 coupons, each for a single meat Whataburger^® sandwich (note that add-ons to the sandwich, as well as sides, drinks, and other items are not included in the definition of Whataburger-for-a-Year)) (the “Prize”).The Prize has an estimated value of $235.00.A Minor will not be allowed to receive the Prize without the proof of consent of the Minor’s parent or legal guardian and the parent or legal guardian’s complete acceptance of these Official Rules.

8. Winner Verification and Prize Conditions

Each potential winning Participant (and the parent or legal guardian of any Minor chosen as a potential winning Participant) will be required to sign and return to Sponsor any legal documents that Sponsor may require including, but not limited to, a Winner’s Affidavit (which may contain a publicity release) and, if necessary, an IRS Form W-9 (collectively, “Prize Verification Forms”), within the amount of time specified in the communication by which the Sponsor delivers the Prize Verification Forms to the potential winning Participant. If a potential winning Participant does not timely sign and return the Prize Verification Forms to Sponsor, or chooses not to accept the Prize, such potential winning Participant will be disqualified, and another potential winning Participant may be selected using the same procedures stated above from the remaining eligible Entries received or Sponsor may cancel the Sweepstakes in its sole discretion.

9. General Conditions

In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but not limited to fraud, virus, bug, worm, unauthorized human intervention or other technical problem, or in the event the Sweepstakes is unable to run as planned for any other reason, as determined by Sponsor in its sole discretion, the Sponsor may, in its sole discretion, either (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules or (b) terminate the Sweepstakes and, in the event of termination, award the Prize at random from among the eligible, non-suspect Entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to damage the platform or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages (including attorney’s fees) and any other remedies from any such person to the fullest extent permitted by law. 10. Publication and License

By posting an Entry, each Participant: (a) represents and warrants to Whataburger that the Entry is an original work and that the Participant owns all right, title and interest in the Entry as of the date of submission or has all necessary rights and authorizations to submit it and the express permission of all individuals, content and materials embodied in the Entry to submit it for possible use as provided herein; (b) represents and warrants to Whataburger that the Entry does not violate these Official Rules or infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; and (c) grants to Whataburger an irrevocable, perpetual, worldwide, royalty-free, unlimited, freely transferable right and license to use, edit, modify, duplicate, license and/or create derivative works from the Entry for any and all purposes, in any and all media, whether now known or hereafter devised. In addition, and except as prohibited by law, each winning Participant of the Sweepstakes grants to Whataburger an irrevocable, perpetual, worldwide, royalty-free, unlimited, freely transferable license to print, publish, display, broadcast, distribute, reproduce, use and otherwise exploit the winning Participant's name, voice, statement, picture or other likeness, without additional compensation, in any media now known or hereinafter known for any purpose whatsoever, including public relations, advertising and promotional purposes as may be determined by Whataburger. 11. Content Restrictions

Participants must not include any of the following content (“Restricted Content”) in their Entries: (a) anything that is not in keeping with the reputation and image of the Whataburger brand of products and services; (b) anything that is obscene, indecent, or sexually explicit or suggestive; (c) anything that may be considered offensive to individuals of any age, race, ethnicity, national origin, religion, sexual orientation or other protected class or to persons who are disabled; (d) anything that infringes, violates or misappropriates any person’s or entity’s personal or proprietary rights (including copyrights, trademarks or other intellectual property rights); (e) anything that defames or invades the publicity or privacy rights of any person, living or deceased; (f) any threats to any person, place, business, group or entity; (g) anything that depicts illegal or violent acts; (h) anything that is libelous, hateful or slanderous; (i) anything that depicts or references tobacco, alcohol, drugs, dangerous stunts or weapons of any kind, including but not limited to guns, knives or projectiles; and (j) any images of individuals under legal age of majority, except if the Participant has obtained a signed release from such individual’s parent or legal guardian. Any Entry with Restricted Content shall be disqualified and ineligible to participate in or win the Sweepstakes. The determination of whether content submitted by a Participant is Restricted Content will be made in Sponsor’s sole and absolute discretion and Sponsor’s determination that content is Restricted Content shall be final and binding in all respects.

12. Release and Limitations of Liability

By participating in the Sweepstakes, Participants agree to release and hold harmless Sponsor, and its parents, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Sweepstakes, and each of their respective officers, directors, employees, shareholders, representatives, and agents (the “Released Parties”) from and against any claim, cause of action, judgement, costs, damages, losses, expenses and liabilities, (whether arising under a theory of contract, warranty, tort, strict liability, product liability or any other theory) that may be suffered by me or any third party as a result of participation in the Sweepstakes, acceptance, receipt, use or nonuse of the prize (including any travel or activity related thereto), Whataburger’s use of my name, voice, statement, picture or other likeness, or Whataburger’s use of the Entry as permitted hereunder (including but not limited to claims of false endorsement or infringement of rights of publicity or privacy), even if such harm is caused solely by the recklessness, negligence or fault of one or more Released Parties. The Released Parties are not responsible for any claims, damages, expenses, costs or losses to any person (including death) or property of any kind resulting from or arising from or in connection with, in whole or in part, directly or indirectly: (a) any technical errors associated with the Sweepstakes, including lost, interrupted or unavailable Internet Service Provider, network, server, wireless service provider, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Sweepstakes; (c) mechanical, network, electronic, computer, human, printing, language-translation, or typographical errors; (d) application downloads, (e) any other errors or problems in connection with the Sweepstakes, including, without limitation, errors that may occur in the administration of the Sweepstakes, the announcement of the winner, or the processing of Entries; or (f) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from participation in the Sweepstakes or acceptance, receipt or misuse of the prize (including any travel or activity related thereto). Without limiting the foregoing in any way, by participating in the Sweepstakes, Participants agree and acknowledge that Facebook and Instagram are not Sponsors of this Sweepstakes. Participants further agree to release and hold harmless Facebook and Instagram from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of the Prize.

 14. Disputes

Except where prohibited, each Participant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Bexar County, Texas. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Participant rights and obligations, or the rights and obligations of Whataburger in connection with the Sweepstakes or any Entry, shall be governed by, and construed in accordance with, the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than the State of Texas.

 16. Winner List

The name of the person with the winning Entry will be posted on the Whataburger Facebook and Instagram accounts within 24 hours of Sponsor selecting the winner, provided the winner has completed all necessary Prize Verification Forms, including parent or legal guardian signatures, if applicable. A list of winners can also be obtained by sending a request with a self-addressed, stamped envelope to Whataburger, Attn: Corporate Communications, 300 Concord Plaza Dr., San Antonio, Texas 78216. All requests must be received within 60 days after the Sweepstakes ends.

The # RollTideWBContest (the “Contest”) is sponsored by Whatabrands LLC, located at 300 Concord Plaza Dr., San Antonio, Texas 78216 (“Sponsor”). Sponsor and its licensees, parent, subsidiaries, affiliates, successors, and assigns are referred to throughout these Official Rules as “Whataburger”.

1. Eligibility

Entries for the Contest may be submitted by any legal resident of the 50 United States or the District of Columbia (unless otherwise excluded herein) who is at least 13 years old at the time of entry. Employees of Whataburger or any other companies or persons associated with the promotion, operation, or judging of the Contest, and their respective parents, subsidiaries, affiliates, and advertising and promotion agencies, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee or person, are not eligible to participate in the Contest. The Contest is subject to federal, state, and local laws and regulations, and is void where prohibited or restricted by law. If you are a deemed a minor in your state of residence (“Minor”), you must have the consent of your parent or legal guardian to participate in this Contest. Proof of such consent may be required at any time.

2. Agreement to Official Rules

By submitting a Submission (defined below), Participant (defined below) fully and unconditionally agrees to and accepts these Official Rules and the decisions of Sponsor, which are final and binding. Winning a Prize is contingent upon the Participant being compliant with these Official Rules and fulfilling all other requirements set forth herein.

3. How to Enter

To enter the Contest, an individual must submit lyrics for an original Whataburger fight song (the “Submission”), which may be presented either as written lyrics or as a performance of the lyrics set to an original score, through one of Whataburger’s social media accounts on Facebook, Twitter, or Instagram as follows:

(a) On Twitter, Participants must tweet their Submissions by tagging @Whataburger and using the required hashtag #RollTideWBContest. Using multiple accounts and repeated Tweets is discouraged. Participants violating Twitter’s terms of use may be disqualified.

(b) On Instagram, Participants must post their Submissions by tagging @Whataburger and using the required hashtag #RollTideWBContest. Using multiple accounts and repeated comments or posts is discouraged. Participants violating Instagram’s terms of use may be disqualified.

(c) On Facebook, Participants must post their Submissions by tagging @Whataburger and using the required hashtag #RollTideWBContest. Using multiple accounts and repeated comments or posts is discouraged. Participants violating Facebook’s terms of use may be disqualified.

Participants may choose the medium of entry from one of the following: (a) a video of no more than 90 seconds (videos longer than 90 seconds will be disqualified); (b) an original photograph or image of the lyrics; or (c) text. All Submissions must be made pursuant to the applicable social media platform’s terms, and these Official Rules, including, without limitation, the Content Restrictions listed below. All properly made Submissions from eligible individuals will be automatically entered into the Contest. Each person posting or tweeting a Submission will be considered a “Participant”. Limit one Submission per Participant, per social media platform, per day. Submissions will not be acknowledged or returned.

4. Submission Period

Only Submissions made between 12:00 pm CT on November 5, 2018 and 5:00 pm CT on November 16, 2018 (the “Submission Period”) will be eligible to win. Submissions that are submitted before or after the Submission Period will be disqualified. Submissions will be accepted online throughout the Submission Period only using the methods described in Section 3 below.

5. Winner Selection

All Submissions made during the Submission Period will be collected and judged by a panel of judges consisting of members of Sponsor’s Social Media Team based on the following criteria:

• 60% for creativity of lyrics; and
• 40% for incorporation of reference(s) best reflecting the Whataburger brand in the fight song.

Using the foregoing criteria, the judges will determine the Submission with the highest total score and that Submission will be the potentially winning Submission.In the event of a tie, the Submission with the highest score for creativity of lyrics shall be considered the higher scoring entry.In the event any Submissions remain tied (i.e., the Submissions have identical “creativity of lyrics” scores), the earliest Submission received by Sponsor of those Submissions that remain tied will be considered the potentially winning Submission.Judging will be conducted under the direction of Sponsor, whose decisions are final and binding in all matters relating to the Contest.Sponsor reserves the right to not select a winner if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Submissions.

6. Winner Notification

Sponsor will attempt to notify the potential winning Participant via direct message to the potential winner’s social media account. To win the Contest, the potential winning Participant must comply with all terms and conditions of these Official Rules and must fulfill each of the following requirements: (a) provide consent of a parent or legal guardian where applicable, and (b) complete and return the Prize Verification Form(s) (defined in Section 8, below). If any potential winning Participant does not respond within 24 hours after the date of Sponsor’s first attempt to contact him or her, fails to comply with all terms and conditions of these Official Rules, fails to comply with requirements (a) and (b) of this Section 6, declines the Prize (as defined below), or is disqualified for any reason, Sponsor may, at its sole discretion select the next highest scoring Submission as the potential alternate winning Participant. Sponsor may continue selecting the next highest scoring Submission as the potential alternate winning Participant until such time as a Participant is adjudged a winner as set forth in this paragraph, or Sponsor may elect at its sole discretion not to award the Prize, or Sponsor may cancel the Contest in its sole discretion.

7. Prize

One winner will be chosen as described in Sections 5 and 6 above for a total of one prize awarded. The #RollTideWBContest winner will receive the following items (collectively, the “Prize”), the total of which is valued at $2,192.00:

(a) Two tickets to the November 24, 2018, NCAA football game between the Auburn Tigers and the Alabama Crimson Tide at Bryant Denny Stadium in Tuscaloosa, Alabama (the "Event"); the total value of the Event portion of the Prize is approximately $2,000. 

(b) Whataburger-for-a-Year, which is defined as a total of 52 coupons, each for a single meat Whataburger^® sandwich (note that add-ons to the sandwich, as well as sides, drinks, and other items are not included in the definition of Whataburger-for-a-Year). The total value for the Whataburger-for-a-Year portion of the Prize is approximately $192.00.

THE PRIZE DOES NOT INCLUDE ANY TRANSPORTATION, ACCOMMODATIONS, MEALS, CONCESSIONS, OR OTHER ITEMS OR COMPONENTS NOT EXPRESSLY LISTED ABOVE IN THIS SECTION 7.THE WINNING PARTICIPANT IS SOLELY RESPONSIBLE FOR ARRANGING AND PAYING FOR ALL NECESSARY TRAVEL, ACCOMMODATIONS, MEALS, CONCESSIONS, AND OTHER COSTS ASSOCIATED WITH ATTENDING THE EVENT.

A Minor will not be allowed to receive the Prize without the proof of consent of the Minor’s parent or legal guardian and the parent or legal guardian’s complete acceptance of these Official Rules.

8. Winner Verification and Prize Conditions

In addition to the other requirements stated in Section 6 above, the potential winning Participant (or his or her parents or legal guardians if the potential winning Participant is a Minor) will be required to sign and return to Sponsor any legal documents that Sponsor may require to be adjudged the winner, including, but not limited to, a Winner’s Affidavit, which may contain a liability release and a publicity release and license consistent with the terms of Section 10 below (collectively, “Prize Verification Forms”), within the amount of time specified in the email or other notice by which Sponsor delivers the Prize Verification Forms to the potential winning Participant.

9. General Conditions

In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to, fraud, virus, bug, worm, unauthorized human intervention, or other technical problem, or in the event the Contest is unable to run as planned for any other reason, as determined by Sponsor in its sole discretion, Sponsor may, in its sole discretion, either (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules, or (b) terminate the Contest and, in the event of termination, award the Prize based on the highest scoring Submission made before the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to damage the platform or undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages (including attorneys’ fees) and any other remedies from any such person to the fullest extent permitted by law. Failure by Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision.

10. Publication and License

By posting or tweeting a Submission, each Participant: (a) represents and warrants to Whataburger that the Submission is an original work and that the Participant owns all right, title, and interest in and to the Submission as of the date such Submission is submitted or has all necessary rights and authorizations to submit the Submission and the express permission of all individuals and for all content and materials embodied in the Submission to submit the Submission for possible use as provided herein; (b) represents and warrants to Whataburger that the Submission does not violate these Official Rules or infringe upon the copyrights, trademarks, rights of privacy, publicity, or other intellectual property or other rights of any person or entity; and (c) grants to Whataburger an irrevocable, perpetual, worldwide, royalty-free, unlimited, freely transferable right and license to use, edit, modify, duplicate, license, and/or create derivative works from the Submission for any and all purposes, in any and all media, whether now known or hereafter devised. In addition, and except as prohibited by applicable law, the winning Participant grants to Whataburger an irrevocable, perpetual, worldwide, royalty-free, unlimited, freely transferable license to print, publish, display, broadcast, distribute, reproduce, use, and otherwise exploit the winning Participant’s name, voice, statement, picture, or other likeness, without additional compensation, in any media now known or hereinafter known for any purpose whatsoever, including public relations, advertising, and promotional purposes, as may be determined by Whataburger. As further described in Section 8 above, the winning Participant may be required to sign a publicity release and license confirming the foregoing grant of rights to Sponsor prior to acceptance of the Prize. Nothing herein will obligate Whataburger to make any use of any of the rights set forth herein.

11. Content Restrictions

Submissions must be made in the English language. Participants must not include any of the following content (“Restricted Content”) in their Submissions: (a) anything that is not in keeping with the reputation and image of the Whataburger brand of products and services; (b) anything that is obscene, indecent, or sexually explicit or suggestive; (c) anything that may be considered offensive to individuals of any age, race, ethnicity, national origin, religion, sexual orientation, or other protected class or to persons who are disabled; (d) anything that infringes, violates, or misappropriates any person’s or entity’s personal or proprietary rights (including copyrights, trademarks, or other intellectual property rights); (e) anything that defames or invades the publicity or privacy rights of any person, living or deceased; (f) any threats to any person, place, business, group, or entity; (g) anything that depicts illegal or violent acts or dangerous stunts; (h) anything that is libelous, hateful, or slanderous; (i) anything that depicts or references tobacco, alcohol, drugs, or weapons of any kind, including, but not limited to, guns, knives, or projectiles; and (j) any images of individuals under legal age of majority, except if the Participant obtains a signed release from such individual’s parent or legal guardian. Any Submission that Sponsor determines includes Restricted Content shall be disqualified and ineligible to participate in or win the Contest. The determination of whether content submitted by a Participant is Restricted Content will be made in Sponsor’s sole and absolute discretion and Sponsor’s determination that content is Restricted Content shall be final and binding in all respects.

12. Release and Limitations of Liability

By participating in the Contest, Participants agree to release and hold harmless Sponsor, and its parent, subsidiaries, affiliates, advertising and promotion agencies, the entities identified in Section 13 below, any other entities associated with the Contest, and each of their respective officers, directors, employees, shareholders, representatives, and agents (the “Released Parties”) from and against any claim, cause of action, judgement, costs, damages, losses, expenses, and liabilities, (whether arising under a theory of contract, warranty, tort, strict liability, product liability, or any other theory) that may be suffered by Participant or any third party as a result of participation in the Contest, acceptance, receipt, use, or nonuse of the Prize, Whataburger’s use of the Participant’s name, voice, statement, picture, or other likeness, or Whataburger’s use of the Submission as permitted hereunder (including but not limited to claims of false endorsement or infringement of rights of publicity or privacy), even if such harm is caused solely by the recklessness, negligence, or fault of one or more Released Parties. The Released Parties are not responsible for any claims, damages, expenses, costs, or losses to any person (including death) or property of any kind resulting from or arising from or in connection with, in whole or in part, directly or indirectly: (a) any technical errors associated with the Contest, including lost, interrupted, or unavailable Internet Service Provider, network, server, wireless service provider, or other connections; availability, accessibility, miscommunications, or failed computer, satellite, telephone, cellular tower, or cable transmissions or lines; or technical failure or jumbled, scrambled, delayed, or misdirected transmissions; or computer hardware or software malfunctions, failures, or difficulties; (b) unauthorized human intervention in the Contest; (c) mechanical, network, electronic, computer, human, printing, or typographical errors; (d) application downloads, (e) any other errors or problems in connection with the Contest, including, without limitation, errors that may occur in the administration of the Contest, the announcement of the winning Participant, or the processing of Submissions; or (f) injury, death, losses, or damages of any kind to persons or property that may be caused, directly or indirectly, in whole or in part, from participation in the Contest or acceptance, receipt, or misuse of a Prize (including any travel or activity related thereto). Participant further agrees that in any cause of action the Released Parties’ liability will be limited to the lesser of $100 or the Participant’s actual out-of-pocket cost of entering and participating in the Contest, and in no event shall the Participant be entitled to recover or receive attorneys’ fees. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Participant waives all rights and claims to special, incidental, punitive, consequential, direct, or indirect damages, whether foreseeable or not, and whether based on negligence or otherwise. Some jurisdictions may not allow limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties, so some of the above limitations or exclusions may not apply. Check local laws for any restrictions or limitations regarding these limitations or exclusions.

13. Third-Party Trademarks and Additional Disclaimer

Any third-party trademarks used in this promotion are the property of the respective trademark owners and are used for identification purposes only. This promotion is in no way sponsored, endorsed, administered by, or associated with such third parties unless specifically stated otherwise. Without limiting the foregoing in any way, by participating in the Contest, Participants agree and acknowledge that this promotion is in no way sponsored, endorsed, or administered by, or associated with the NCAA, the University of Alabama, Auburn University, Twitter, Instagram, or Facebook. Participants further hereby release and agree to hold harmless the NCAA, the University of Alabama, Auburn University, Twitter, Instagram, and Facebook from and against any claim or cause of action arising out of participation in the Contest or receipt or use of the Prize or any portion thereof.

14. Disputes

Except where prohibited, each Participant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Bexar County, Texas. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Participant rights and obligations, or the rights and obligations of Whataburger in connection with the Contest or any Submission, shall be governed by and construed in accordance with the laws of the State of Texas without giving effect to any choice of law or conflict of law rules that would cause the application of the laws of any jurisdiction other than the State of Texas.

15. Privacy

Information collected from Participants is subject to Sponsor’s privacy policy, which can be found at http://whataburger.com/home/privacypolicy.

16. Winner List

The name of the Participant with the winning Submission will be posted on the Whataburger social media profile pages at approximately noon central time on November 20, 2018, or as soon thereafter as a winner of the Prize is determined in accordance with the procedures in Section 6 above. The name of the winner can also be obtained by sending a request with a self-addressed, stamped envelope to Whataburger, Attn: Corporate Communications, 300 Concord Plaza Dr., San Antonio, Texas 78216. All requests must be received within 60 days after the end of the Submission Period.

Each entrant so doing will be considered a “Participant” and such post/tweet will be considered the “Entry”. Limit one Entry per person. Each Entry must be made in accordance with these Official Rules, including the Content Restrictions described below, and must also conform to the rules of the platform on which it is made (i.e., Facebook or Twitter). Only Entries made during the Sweepstakes Period will be eligible to win the Sweepstakes. All properly submitted Entries will be automatically entered into the Sweepstakes. Entries in excess of the stated limits may be disqualified.  6. Winner Notification

If a potential winning Participant does not timely sign and return the Prize Verification Forms to Sponsor, or chooses not to accept the Prize, such potential winning Participant will be disqualified, and another potential winning Participant may be selected using the same procedures stated above from the remaining eligible Entries received or Sponsor may cancel the Sweepstakes in its sole discretion.

9. General Conditions

12. Release and Limitations of Liability

By participating in the Sweepstakes, Participants agree to release and hold harmless Sponsor, and its parents, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Sweepstakes, and each of their respective officers, directors, employees, shareholders, representatives, and agents (the “Released Parties”) from and against any claim, cause of action, judgement, costs, damages, losses, expenses and liabilities, (whether arising under a theory of contract, warranty, tort, strict liability, product liability or any other theory) that may be suffered by me or any third party as a result of participation in the Sweepstakes, acceptance, receipt, use or nonuse of the prize (including any travel or activity related thereto), Whataburger’s use of my name, voice, statement, picture or other likeness, or Whataburger’s use of the Entry as permitted hereunder (including but not limited to claims of false endorsement or infringement of rights of publicity or privacy), even if such harm is caused solely by the recklessness, negligence or fault of one or more Released Parties.  14. Disputes

The name of the person with the winning Entry will be posted on the Whataburger Facebook and Instagram accounts within 24 hours of Sponsor selecting the winner, provided the winner has completed all necessary Prize Verification Forms, including parent or legal guardian signatures, if applicable. The WhataCostume Contest (the “Contest”) is sponsored by Whatabrands LLC, located at 300 Concord Plaza Dr., San Antonio, Texas 78216 (“Sponsor”). Sponsor and its licensees, parent, subsidiaries, affiliates, successors, and assigns are referred to throughout these Official Rules as “Whataburger”.

1. Eligibility

The Contest may be entered by any legal resident of the 50 United States or the District of Columbia (unless otherwise excluded herein) who are at least 13 years old at the time of entry. Employees of Whataburger or any other companies or persons associated with the promotion, operation, or judging of the Contest and their respective parents, subsidiaries, affiliates, and advertising and promotion agencies, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee or person, are not eligible to participate in the Contest. The Contest is subject to federal, state, and local laws and regulations, and is void where prohibited or restricted by law. If you are a deemed a minor in your state of residence (“Minor”), you must have the consent of your parent or legal guardian to participate in this Contest. Proof of such consent may be required at any time.

2. Agreement to Official Rules

By entering the Contest as specified in Section 3, below, Entrant (defined below) fully and unconditionally agrees to and accepts these Official Rules and the decisions of Sponsor, which are final and binding. Winning a Prize is contingent upon the Entrant being compliant with these Official Rules and fulfilling all other requirements set forth herein.

3. How to Enter

To enter the Contest, an individual must: (a) sign in at the Whataburger booth at the Alamo City Comic Con on October 28, 2018, between 9:00 a.m. and 2:00 p.m.; (b) be present at the Whataburger Booth I at 2:00 p.m. on October 28, 2018, while wearing a Whataburger-themed costume (the “Costume”), which Costume will be judged in accordance with the criteria set forth in Section 4, below; and (c) remain present at the Whataburger Booth throughout the judging period until such time as a Winner is announced. Only a person complying with these entry requirements will be considered an “Entrant” of the Contest and potentially eligible to win. All Entrants agree to these Official Rules, including, without limitation, the Content Restrictions for any Costumes in accordance with the terms listed in Section 10, below.

4. Winner Selection

All Entrants present at the Whataburger Booth at 2:00 p.m. on October 28, 2018 will be judged by a panel of judges consisting of members of local San Antonio media outlets based on the following criteria:

• 60% Creativity of Costume
• 40% Incorporation of Whataburger-branded materials in Costume

Using the foregoing criteria, the judges will determine the Entrant with the highest total score and that Entrant will be the “Potentially Winning Entrant”.In the event of a tie, the Entrant with the highest score for Creativity shall be considered the higher scoring entry.In the event any Entrants remain tied (i.e., the Entries have identical “Creativity” scores), the Entrant’s Costume with the highest number of fully visible references to “Whataburger” will be considered the Potentially Winning Entrant.Judging will be conducted under the direction of Sponsor, whose decisions are final and binding in all matters relating to the Contest.Sponsor reserves the right to not select a winner if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entrants.

5. Winner Announcement

The Sponsor will select and inform the Potentially Winning Entrant at 2:30 p.m. on October 28, 2018, or immediately following conclusion of the judging, whichever is later. The Potentially Winning Entrant must comply with all terms and conditions of these Official Rules and must fulfill each of the following requirements: (a) provide consent of a parent or legal guardian where applicable, and (b) complete and return the Prize Verification Form(s) (defined in Section 7, below). If the Potentially Winning Entrant fails to comply with all terms and conditions of these Official Rules, fails to comply with requirements (a) and (b) of this Section 5, declines the Prize (as defined below), or is disqualified for any reason, Sponsor may, at its sole discretion select the next highest scoring Entrant as the “Alternate Potentially Winning Entrant”, who must then comply with all terms and conditions of these Official Rules and must fulfill each of the requirements set forth in this Section 5. Sponsor may continue selecting the next highest scoring Entrant as the Alternate Potential Winning Entrant until such time as an Entrant is adjudged a winner as set forth in this paragraph, or Sponsor may elect at its sole discretion not to award the Prize, or Sponsor may cancel the Contest in its sole discretion.

6. Prize

One winner will be chosen as described in Sections 4 and 5 above for a total of one prize awarded. The WhataCostume Contest winner will receive a “Prize” consisting of Whataburger-for-a-Year, which is defined as a total of 52 coupons, each for a single meat Whataburger^® sandwich (note that add-ons to the sandwich, as well as sides, drinks, and other items are not included in the definition of Whataburger-for-a-Year). The Prize is valued at approximately $192.00.

A Minor will not be allowed to receive the Prize without the proof of consent of the Minor’s parent or legal guardian and the parent or legal guardian’s complete acceptance of these Official Rules.

7. Winner Verification and Prize Conditions

In addition to the other requirements stated in Section 5 above, the Potentially Winning Entrant (or his or her parents or legal guardians if the Potentially Winning Entrant is a Minor) or Alternate Potentially Winning Entrant, where applicable, will be required to sign and return to Sponsor any legal documents that Sponsor may require to be adjudged the winner, including, but not limited to, a Winner’s Affidavit, which may contain a liability release and a publicity release and license consistent with the terms of Section 9 below (collectively, “Prize Verification Forms”), immediately upon delivery of the Prize Verification Forms to the Potentially Winning Entrant by the Sponsor. Failure to timely execute the Prize Verification Forms as requested by Sponsor will result in Entrant’s immediate disqualification from the Contest and forfeiture of any Prize that might otherwise have been awarded.

8. General Conditions

In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to, fraud, unauthorized human intervention, or other technical problem, or in the event the Contest is unable to run as planned for any other reason, as determined by Sponsor in its sole discretion, Sponsor may, in its sole discretion, either (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules, or (b) terminate the Contest and, in the event of termination, award the Prize based to the highest scoring Entrant as determined before the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to damage the platform or undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages (including attorneys’ fees) and any other remedies from any such person to the fullest extent permitted by law. Failure by Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision.

9. Publication and License

By entering the Contest, each Entrant: (a) represents and warrants to Whataburger that the Costume is an original work and that the Entrant has all necessary rights and authorizations to enter the Contest with the Costume and the express permission for all content and materials embodied in the Costume to enter the Contest and grants Whataburger the rights as provided herein; (b) represents and warrants to Whataburger that the Costume does not violate these Official Rules or infringe upon the copyrights, trademarks, rights of privacy, publicity, or other intellectual property or other rights of any person or entity; and (c) grants to Whataburger an irrevocable, perpetual, worldwide, royalty-free, unlimited, freely transferable right and license to capture images of the Entrant and the Costume, and to use, edit, modify, duplicate, license, and/or create derivative works from such images for any and all purposes, in any and all media, whether now known or hereafter devised. In addition, and except as prohibited by applicable law, the winning Entrant grants to Whataburger an irrevocable, perpetual, worldwide, royalty-free, unlimited, freely transferable license to print, publish, display, broadcast, distribute, reproduce, use, and otherwise exploit the winning Entrant’s name, voice, statement, picture, or other likeness, without additional compensation, in any media now known or hereinafter known for any purpose whatsoever, including public relations, advertising, and promotional purposes, as may be determined by Whataburger. As further described in Section 7 above, the winning Entrant may be required to sign a publicity release and license confirming the foregoing grant of rights to Whataburger prior to acceptance of the Prize. Nothing herein will obligate Whataburger to make any use of any of the rights set forth herein.

10. Content Restrictions

Entrants must not include any of the following content (“Restricted Content”) in their Costume entries: (a) anything that is not in keeping with the reputation and image of the Whataburger brand of products and services; (b) anything that is obscene, indecent, or sexually explicit or suggestive; (c) anything that may be considered offensive to individuals of any age, race, ethnicity, national origin, religion, sexual orientation, or other protected class or to persons who are disabled; (d) anything that infringes, violates, or misappropriates any person’s or entity’s personal or proprietary rights (including copyrights, trademarks, or other intellectual property rights); (e) anything that defames or invades the publicity or privacy rights of any person, living or deceased; (f) any threats to any person, place, business, group, or entity; (g) anything that depicts illegal or violent acts or dangerous stunts; (h) anything that is libelous, hateful, or slanderous; and (i) anything that depicts or references tobacco, alcohol, drugs, or weapons of any kind, including, but not limited to, guns, knives, or projectiles. Any Costume that Sponsor determines includes Restricted Content shall be disqualified and ineligible to participate in or win the Contest. The determination of whether a Costume contains Restricted Content will be made in Sponsor’s sole and absolute discretion and Sponsor’s determination that a Costume is or contains Restricted Content shall be final and binding in all respects.

11. Release and Limitations of Liability

By participating in the Contest, Entrants agree to release and hold harmless Sponsor, and its parent, subsidiaries, affiliates, advertising and promotion agencies, judges, the companies identified in Section 12 below, any other companies associated with the Contest, and each of their respective officers, directors, employees, shareholders, representatives, and agents (the “Released Parties”) from and against any claim, cause of action, judgement, costs, damages, losses, expenses, and liabilities, (whether arising under a theory of contract, warranty, tort, strict liability, product liability, or any other theory) that may be suffered by Entrant or any third party as a result of participation in the Contest, acceptance, receipt, use, or nonuse of the Prize, Whataburger’s use of the Entrant’s name, voice, statement, picture, or other likeness as permitted hereunder (including but not limited to claims of false endorsement or infringement of rights of publicity or privacy), even if such harm is caused solely by the recklessness, negligence, or fault of one or more Released Parties.  3. Sweepstakes Period

The Sweepstakes begins on July 30, 2018 at 12:00PM CST and ends on August 6, 2018 at 5:00PM CST (the “Sweepstakes Period”). Submissions will be collected from July 30, 2018 at 12:00PM CST through August 3, 2018 at 12:00PM CST (the “Submissions Period”). Submissions that are submitted before or after the Submission Period will be disqualified. Submissions will be accepted online throughout the Submissions Period using the methods described in Section 4 below.

 4. How to Enter

On July 30, 2018 Sponsor will share a post on Facebook asking its followers who are teachers (including substitute teachers) in Oklahoma to share or post what inspired him/her to become a teacher and the school at which they are currently teaching. To enter the Sweepstakes, individuals must post a response to that post on Whataburger’s Facebook page. Using multiple accounts and repeated posts is discouraged. Participants violating Facebook’s terms of use may be disqualified.

Individuals posting a comment in accordance with the above will be considered “Participants”, and the post with such response (which must include, at a minimum, the school at which the Participant is currently teaching) on Facebook will be considered the “Submission”. Each Submission must be made in accordance with these Official Rules, including the Content Restrictions described below, during the Submission Period. Only Submissions made during the Submission Period will be eligible to win. All properly made Submissions will be automatically entered into the Sweepstakes.

All Submissions become the property of Sponsor and will not be acknowledged or returned.

5. Winner Selection

At the close of the Submission Period, all Submissions will be collected and winners will be randomly selected from eligible Submissions once the Submission Period has ended. Drawings will be conducted under the direction of Sponsor, whose decisions are final and binding in all matters relating to the Sweepstakes.

 6. Winner Notification

The Sponsor will attempt to notify the potential winning Participant via direct message on the winner’s Facebook account. If the potential winning Participant does not respond within 24 hours after the date of the first attempt to contact him/her, the Sponsor may select an alternate potential winning Submission in his/her place from the remaining non-winning, eligible Submissions pursuant to the terms of Section 5 of these Official Rules. The potential winning Participant must comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements, including consent of a parent or legal guardian where applicable. In the event that a potential winning Participant declines the Prize or is disqualified for any reason, Sponsor may, in its sole discretion, elect to award the applicable Prize to an alternate Participant using these same procedures or elect to not award a Prize.

 7. Prizes

One prize will be awarded.The winning Participant will receive Whataburger-for-a-Year (“Whataburger-for-a-Year” is defined as a total of fifty-two (52) coupons, each for a single meat Whataburger® (add-ons, sides, drinks, and other items not included)), a value of up to $260.00. Additionally, one thousand dollars ($1,000.00) cash will be given to the school at which the winning Participant works (limit one school campus).Whataburger-for-a-Year and the $1,000.00 cash will be collectively referred to herein as the “Prize”.A Minor will not be allowed to receive any Prize without the proof of consent of the Minor’s parent or legal guardian and the parent or legal guardian’s complete acceptance of these Official Rules.

By posting a Submission, each Participant: (a) represents and warrants to Whataburger that the Submission is an original work and that the Participant owns all right, title and interest in the Submission as of the date of submission or has all necessary rights and authorizations to submit it and the express permission of all individuals, content and materials embodied in the Submission to submit it for possible use as provided herein; (b) represents and warrants to Whataburger that the Submission does not violate these Official Rules or infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; and (c) grants to Whataburger an irrevocable, perpetual, worldwide, royalty-free, unlimited, freely transferable right and license to use, edit, modify, duplicate, license and/or create derivative works from the Submission for any and all purposes, in any and all media, whether now known or hereafter devised. In addition, and except as prohibited by law, the winning Participant of the Sweepstakes grants to Whataburger an irrevocable, perpetual, worldwide, royalty-free, unlimited, freely transferable license to print, publish, display, broadcast, distribute, reproduce, use and otherwise exploit the winning Participant's name, voice, statement, picture or other likeness, without additional compensation, in any media now known or hereinafter known for any purpose whatsoever, including public relations, advertising and promotional purposes as may be determined by Sponsor. The winning Participant may be required to sign a publicity release confirming the foregoing grant of rights to Whataburger prior to acceptance of a prize. Nothing herein will obligate Whataburger to make any use of any of the rights set forth herein.

11. Content Restrictions

Submissions must be made in the English language. Participants must not include any of the following content (“Restricted Content”) in their Submissions: (a) anything that is not in keeping with the reputation and image of the Whataburger brand of products and services; (b) anything that is obscene, indecent, or sexually explicit or suggestive; (c) anything that may be considered offensive to individuals of any age, race, ethnicity, national origin, religion, sexual orientation or other protected class or to persons who are disabled; (d) anything that infringes, violates or misappropriates any person’s or entity’s personal or proprietary rights (including copyrights, trademarks or other intellectual property rights); (e) anything that defames or invades the publicity or privacy rights of any person, living or deceased; (f) any threats to any person, place, business, group or entity; (g) anything that depicts illegal or violent acts; (h) anything that is libelous, hateful or slanderous; (i) anything that depicts or references tobacco, alcohol, drugs, dangerous stunts or weapons of any kind, including but not limited to guns, knives or projectiles; and (j) any images of individuals under legal age of majority, except if the Participant has obtained a signed release from such individual’s parent or legal guardian. Any Submission with Restricted Content shall be disqualified and ineligible to participate in or win the Sweepstakes. The determination of whether content submitted by a Participant is Restricted Content will be made in Sponsor’s sole and absolute discretion and Sponsor’s determination that content is Restricted Content shall be final and binding in all respects.

12. Release and Limitations of Liability

By participating in the Sweepstakes, Participants agree to release and hold harmless Sponsor, and its parents, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Sweepstakes, and each of their respective officers, directors, employees, shareholders, representatives, and agents (the “Released Parties”) from and against any claim, cause of action, judgement, costs, damages, losses, expenses and liabilities, (whether arising under a theory of contract, warranty, tort, strict liability, product liability or any other theory) that may be suffered by me or any third party as a result of participation in the Sweepstakes, acceptance, receipt, use or nonuse of the Prize (including any travel or activity related thereto), Whataburger’s use of my name, voice, statement, picture or other likeness, or Whataburger’s use of the Submission as permitted hereunder (including but not limited to claims of false endorsement or infringement of rights of publicity or privacy), even if such harm is caused solely by the recklessness, negligence or fault of one or more Released Parties. The Released Parties are not responsible for any claims, damages, expenses, costs or losses to any person (including death) or property of any kind resulting from or arising from or in connection with, in whole or in part, directly or indirectly: (a) any technical errors associated with the Sweepstakes, including lost, interrupted or unavailable Internet Service Provider, network, server, wireless service provider, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Sweepstakes; (c) mechanical, network, electronic, computer, human, printing or typographical errors; (d) application downloads, (e) any other errors or problems in connection with the Sweepstakes, including, without limitation, errors that may occur in the administration of the Sweepstakes, the announcement of the winner, or the processing of Submissions; or (f) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, fromparticipation in the Sweepstakes or acceptance, receipt or misuse of the prize (including any travel or activity related thereto). Participant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Participant be entitled to receive attorneys’ fees. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. Participant waives all rights and claims to special, incidental, punitive, consequential, direct, or indirect damages whether foreseeable or not, and whether based on negligence or otherwise. Some jurisdictions may not allow limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties, so some of the above limitations or exclusions may not apply. Check local laws for any restrictions or limitations regarding these limitations or exclusions.

13. Additional Releases and Disclaimers

Any third-party trademarks used in this promotion are the property of the respective trademark owners and are used for identification purposes only. This promotion is in no way sponsored, endorsed, administered by, or associated with such third parties unless specifically stated otherwise.

By participating in the Sweepstakes, Participants agree and acknowledge that Facebook is not a Sponsor of this Sweepstakes. This promotion is in no way sponsored, endorsed or administered by, or associated with Facebook. Participants further agree to release and hold harmless Facebook from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of the Prize.

 14. Disputes

Except where prohibited, each Participant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Bexar County, Texas. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Participant rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes or any Submission, shall be governed by, and construed in accordance with, the laws of Texas, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than Texas.

Information collected from Participants is subject to Sponsor’s privacy policy, which can be found at http://whataburger.com/home/privacypolicy.

 16. Winner List

The name of the person(s) with the winning entries will be posted on the Whataburger social media profile pages within at least forty-eight (48) hours of Whataburger selecting the applicable winner and the applicable winner or winner’s parent or legal guardian signing a Winner’s Affidavit (if applicable). A list of winners can also be obtained by sending a request with a self-addressed, stamped envelope to Whataburger, Attn: Corporate Communications, 300 Concord Plaza Dr., San Antonio, Texas 78216. All requests must be received within sixty (60) days after the Sweepstakes ends.
